1.Acceptance and eligibility
By creating a LoyaltyPass account, you agree to these Terms. You must be at least 18 years old, operating a real Ghana-registered business or sole proprietorship, and authorised to bind that business. If you are signing up on behalf of a company, you confirm you have authority to do so.
2.The service
LoyaltyPass is a hosted, multi-tenant SaaS platform that lets hospitality vendors issue digital loyalty cards to Apple Wallet and Google Wallet, record customer visits via QR scans at their physical shops, and send promotional messages to customers who have installed the loyalty card. The service is delivered from our published domain and any successor domain we announce.
3.Account and vendor responsibilities
You are responsible for:
- The accuracy of the information you provide at signup.
- The security of your login credentials.
- The conduct of any staff member you grant a scanner PIN to.
- The lawfulness of the brand assets you upload (logo, name, colors). You confirm you have the right to use them.
- Ensuring every customer who signs up at one of your shops has a clear real-world basis to receive marketing from you: visible notice at the QR signup screen, signage at the shop, or other customary indication.
4.Subscription, billing, cancellation, refunds
Pricing
Pricing is a flat monthly base plus a per-location fee: GHS 650 per month covers your first branch, and each additional branch adds GHS 150 per month. All prices are quoted excluding tax. VAT and statutory levies (currently 22% combined, made up of standard VAT, NHIL, GETFund, and the COVID-19 health levy) are added at billing time.
Trial
New vendors get a 7-day free trial. No card is required to start the trial.
Billing cycle
Monthly, charged via Paystack against the card or mobile money authorization saved on your first payment.
Adding a shop mid-cycle
When you add a shop part-way through a billing cycle, we charge a prorated amount for the remainder of the current cycle and the full new rate from the next cycle onwards.
Cancellation
You can cancel at any time from the admin app. Cancellation stops future charges. It does not refund the current cycle, except where required by law.
Failed payments
We retry failed payments. If a payment has not been collected within 7 days of its due date, admin access is locked. The customer-facing loyalty cards keep working for another 83 days (90 days from cancellation in total) to give you a chance to resubscribe before customer data is purged.
Refunds
We do not offer refunds for partial months. If you believe you were charged in error, email support@loyaltypass.org within 30 days and we will review.
5.Acceptable use
You agree NOT to:
- Send marketing messages to customers who did not knowingly sign up to your loyalty card.
- Impersonate another business or use a brand name you do not own or have the right to use.
- Use the service to send illegal, harassing, fraudulent, or misleading content.
- Attempt to reverse-engineer, scrape, or otherwise interfere with the LoyaltyPass platform or its other vendors' data.
- Share staff PINs or admin credentials with anyone outside your organisation.
We reserve the right to suspend any account that breaches these rules. Spam and abusive use are the most common reasons accounts are suspended.
6.Customer data: controller and processor
With respect to the personal data of your customers (the people who sign up to your loyalty card), you act as the data controller and LoyaltyPass acts as the data processor. In practice:
- You decide what to send to your customers and when.
- We process customer data on your instructions through the admin app and the documented features of the service.
- If a customer asks us to delete their data, we will forward the request to you and act on your direction. If the customer's request is plainly lawful (for example, asking to be removed from broadcasts), we may act on it directly.

7.Intellectual property
LoyaltyPass owns the platform: the code, the design, the LoyaltyPass brand.
You own your business brand assets (logo, name, colors) and you grant LoyaltyPass a limited, worldwide, royalty-free licence to display them on the loyalty card and in the admin app for the purpose of running the service.
Your customer list and your transaction history (punches, redemptions) are yours. We will export them to you on request.
8.Service availability and limitation of liability
We aim for high availability but we do not guarantee uptime. The service is provided as-is.
To the maximum extent permitted by law, LoyaltyPass and its operators are not liable for any indirect, incidental, or consequential damages, including lost profits or lost customer goodwill. Our total liability to you in any 12-month period is capped at the amount you paid us in that period.
Nothing in these Terms limits any liability that cannot be excluded by Ghanaian law.
9.Termination
You can terminate by cancelling your subscription in the admin app. We can terminate or suspend your account for non-payment, breach of the Acceptable Use section, or extended inactivity (more than 12 months with no logins and no active subscription). On termination, data is retained for 90 days and then deleted, as described in the Privacy Policy.
10.Dispute resolution
These Terms are governed by the laws of the Republic of Ghana.
Any dispute arising from these Terms or your use of the service shall first be addressed by good-faith negotiation between the parties. If negotiation fails within 30 days, the dispute shall be referred to the courts of competent jurisdiction in Accra, Ghana.
11.Changes to these terms
We may update these Terms. Material changes (price, scope of service, liability) will be notified by email to the vendor's billing contact at least 14 days before they take effect. Continued use of the service after that date is acceptance of the new Terms.
